LOUD Technologies – the company behind Alvarez, Ampeg, Crate, EAW, Mackie, Martin Audio and TAPCO gear – has announced that it has submitted written notice to the NASDAQ Stock Market of its intention to voluntarily delist its common stock from NASDAQ.

“Due to our small market capitalization, we have not enjoyed many of the benefits traditionally associated with a NASDAQ listing and Exchange Act registration,” said Rodney E. Olson, Chief Executive Officer of the Company. “Our Board believes that shareholder value is best served through reducing costs and focusing on our business plan rather than maintaining our current public reporting status and NASDAQ listing.”

In deciding to delist the Company’s common stock from NASDAQ and deregister its common stock under the Exchange Act, the Board of Directors concluded that the costs of maintaining its listing on NASDAQ and remaining a public company outweigh the benefits to the Company and its shareholders on continued NASDAQ listing and Exchange Act registration.

This isn’t good news for fans of Alvarez, Ampeg, Crate, EAW, Mackie, Martin Audio and TAPCO gear.

LOUD Technologies today announced that it received a notice from the Nasdaq Stock Market indicating that the Company is not in compliance with the requirements for continued listing under Nasdaq Marketplace Rule 4310(c)(14), because it did not file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2008 (the “Form 10-Q”) by the prescribed due date (the “Nasdaq letter”).

The Nasdaq letter indicated that the Company has until January 20, 2009 to submit a plan to regain compliance.

LOUD’s Chief Financial Officer quit earlier in the year, after just a year, and LOUD recently announced it would cut its staff by 18 percent – about 90 employees.

It doesn’t look good for LOUD.

NAMM Show Update: Tapco introduced a new loudspeaker sub, the TAPCO THUMP TH-18s Active Subwoofer.

Housed in a rugged, ported bass-reflex enclosure and featuring an 500-watt Class-D amplifier design, the TH-18s provides amazingly accurate low-end response—from 35Hz-125Hz. The high-current switching power supply means it’s ready for worldwide use, and it’s lightweight, so musicians won’t break their back on their travels.

The TAPCO THUMP TH-18s will be available domestically and internationally in Q2 2008 and have an MSRP of $699.99.

 

Tapco Thump AmpNAMM Update: Designed by the same team that produced Mackie’s best-selling compact active loudspeakers, TAPCO’s THUMP TH-15A Active Loudspeaker’s two-way bass reflex (ported) design provides accurate response from 20kHz all the way down to 40Hz.

If these are anything like Mackie’s SRM 450’s, they’re going to sound very good.

Class D circuitry drives a custom, high-precision 15-inch woofer to greater volumes with less heat than is possible with other designs. Additional onboard electronics include full system protection and 3-band EQ with swept midrange for maximum clarity.
